These Terms of Use (“Terms”) govern your access to and use of the websites located at governai.ca and governai.online, and any related content, applications, and services we make available (collectively, the “Site”). The Site is operated by Gove RNAI Technologies Inc., a Canadian corporation, and/or GovernAI Inc., a Delaware corporation, as applicable (“GovernAI,” “we,” “us,” or “our”). Gove RNAI Technologies Inc. is the Canadian company behind the original GovernAI project; GovernAI Inc. supports U.S. operations, commercial readiness, and related services.

By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site. You must be at least 13 years of age (or older where your local law requires) to use the Site. If you use the Site on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You may view and print pages from the Site for your personal, non-commercial use. Any other use — including modification, reproduction, distribution, republication, or creation of derivative works — requires our prior written permission.

The Site and our products may present content generated or assisted by artificial intelligence. Such content can contain errors or omissions and may not reflect the most current developments. All Site content, including AI-assisted content, is provided for general information only and does not constitute legal, financial, tax, medical, or other professional advice, nor an official statement of any government’s position. You are responsible for independently verifying any output before relying on it, and for obtaining advice from a qualified professional licensed in your jurisdiction where appropriate.

If you send us ideas, suggestions, or other feedback about the Site or our products, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use that feedback for any purpose, without obligation or compensation to you. Do not send us information you consider confidential.

8. Disclaimer of warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. GOVE RNAI TECHNOLOGIES INC., GOVERNAI INC., AND THEIR AFFILIATES DO NOT GUARANTEE THAT THE SITE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

Some jurisdictions — including certain Canadian provinces and U.S. states — do not allow the exclusion of certain warranties or conditions, so some of the above exclusions may not apply to you. Nothing in these Terms excludes warranties, conditions, or guarantees that cannot be excluded under the laws of your jurisdiction, including applicable Canadian consumer-protection legislation and Quebec’s Consumer Protection Act.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOVE RNAI TECHNOLOGIES INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you. These limitations do not apply to liability that cannot be limited by law, including liability for fraud, fraudulent misrepresentation, or gross negligence or wilful misconduct where such limitation is prohibited.

To the extent permitted by applicable law, you agree to indemnify and hold harmless Gove RNAI Technologies Inc., GovernAI Inc., their affiliates, and their respective directors, officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your violation of these Terms or your misuse of the Site. This section does not apply to consumers in jurisdictions where such indemnities are unenforceable.

11. Copyright complaints (U.S. DMCA & Canadian Notice-and-Notice)

United States. If you believe content on the Site infringes your copyright, you may send a notification under the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent at [email protected] (subject line “DMCA Notice”), including: (a) identification of the copyrighted work; (b) identification and location of the allegedly infringing material; (c) your contact information; (d) a statement of good-faith belief that the use is not authorized; (e) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act for the owner; and (f) your physical or electronic signature. We may remove content and, where appropriate, terminate repeat infringers.

Canada. For notices under Canada’s notice-and-notice regime (Copyright Act, ss. 41.25–41.26), use the same address with subject line “Copyright Notice”.

12. Export controls & sanctions

You may not use, export, or re-export the Site or any of our software except as authorized by Canadian law, United States law, and the laws of the jurisdiction in which you access the Site. You represent that you are not located in, or a resident of, any country or region subject to comprehensive Canadian or U.S. sanctions, and that you are not on any Canadian or U.S. government list of prohibited or restricted parties.

13. Governing law & disputes

These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Subject to the paragraph below, you agree to the exclusive jurisdiction of the courts located in British Columbia, Canada.

Consumer carve-out. If you access the Site as a consumer, nothing in this section deprives you of: (a) the protection of mandatory consumer-protection rules of the jurisdiction where you reside (including, for Quebec residents, the Consumer Protection Act, and for U.S. residents, applicable state consumer-protection statutes); or (b) any non-waivable right to bring or defend proceedings in the courts of your place of residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
